General Terms and Conditions
These terms apply to all orders placed via editflow.ch.
1. Scope and contracting parties
These terms apply to all contracts between you and EditFlow, a simple partnership (einfache Gesellschaft) under Art. 530 ff. OR, consisting of Nicolas Chapatte and Tim Schultz, Finkenweg 21, 4147 Aesch BL, Switzerland. Deviating terms apply only if we have agreed to them in writing.

2. Contract formation
The presentation of our services on the website is not a binding offer, but an invitation to send a request. By submitting the order form you ask us for a quote; this is not yet binding for either side. After an editor has reviewed your request we send you a quote with a fixed price. The contract is concluded when you accept the quote by paying it.
We may decline a request without stating reasons, in particular if we lack capacity or if the material contains unlawful content. A quote is valid for the period stated on it (usually seven days); if it is not paid by then, it lapses. Should we decline after payment, we refund the amount paid in full.
3. Services and levels
We provide services in video editing and graphic design. The scope results from the level chosen and your request. The prices stated on the website are starting prices of the respective level. The binding price is the fixed price in our quote; it depends on the type and length of the work and is never below the starting price of the chosen level. Services beyond the quoted scope are charged only after prior express agreement with you.
The number of included revisions depends on the level: two for Level 1 (Basic), three for Level 2 (Advanced) and for Level 3 (Premium). We assign editors and designers according to suitability; there is no entitlement to a specific person.
4. Your cooperation
So that we can work, you provide us with the raw material and all necessary information, as a link that you state in the order or submit afterwards in the ticket for the order. If provision is delayed, processing is postponed accordingly.
You warrant that you hold all rights to the material supplied. This concerns in particular music, fonts, image material, logos and persons recorded. If third parties assert claims against us because of your material, you indemnify us against these claims, provided that you are responsible for the infringement.
You give feedback on interim results promptly. If you do not respond within thirty days after a delivery, the order is deemed accepted.
5. Prices and payment
All prices are in euros (EUR). We are not subject to VAT under Art. 10 para. 2 lit. a MWSTG and therefore do not show VAT. No taxes or hidden surcharges are added; the invoice amount is the fixed price of the quote as set out in section 3.
Payment is made in advance: you accept the quote by paying it online through our payment service provider Stripe. Processing begins only after the payment has been received in full; the editor receives access to your material only then. If bank details are given on the invoice, you can transfer the amount instead; processing then starts when the transfer arrives. The finished work is delivered for review after completion; the revisions included in your level apply.
6. Processing time
Processing time depends on the scope, length and type of the order. The website shows guide values per format (for example 24 to 48 hours for a short, three to five days for a video of up to ten minutes), counted from receipt of payment. These guide values are not a commitment; the date stated in the quote or confirmed in the dashboard is binding.
7. Revisions
A revision is a correction round on the delivered result based on your feedback. It is included in the level as long as it stays within the scope of the original order description.
Changes that expand the order (different concept, additional material, new formats, significantly different length) are not a revision but a new or extended order. We tell you in advance if we classify a request this way, and state the additional price.
8. Defects, rework and refund
If the result deviates from the agreed specification, you report this through the ticket for the order. We first remedy it within the scope of the included revisions.
If there is a legitimate defect and the revisions also remain unsuccessful, we carry out further rework free of charge. If the rework also fails, we refund the amount paid for the defective service. A subsequently changed idea of the result is not a defect, provided that we implemented the original description.
9. Right of withdrawal for consumers from the EU
If you are a consumer resident in the EU, you have a right of withdrawal of fourteen days from conclusion of the contract for distance contracts. You can exercise it informally, for example by email to info@editflow.ch.
Because we begin processing immediately after your payment, we require your express consent to immediate commencement when you send the request and confirm it to you by email. With this consent, your right of withdrawal expires once we have fully performed the service. If you withdraw beforehand, you owe an amount corresponding to the portion already performed; we refund the remainder.

10. Usage rights
Upon full payment, all transferable usage rights to the work created pass to you, unlimited in time, territory and content, including the right to edit and to commercially exploit it. Until full payment, the rights remain with us.
We publish your work only with your express consent in our portfolio, on our channels or for advertising purposes. Without this consent, we do not show it to anyone outside the team working on your order.
Rights to the raw material you supply remain unaffected with you. We use it exclusively to fulfil your order.
11. Communication
Coordination on the order runs through the ticket system in your dashboard. Questions, feedback, revisions and files are kept there in one place, which benefits both sides in the event of a dispute.
Editors and designers work through our platform. You agree not to directly engage any person referred through us, bypassing the platform, during the collaboration and for six months afterwards.
12. Confidentiality
We treat your material and the content of your orders confidentially and do not pass either on to third parties, except to the persons involved in the order and to service providers necessary for operations. Which these are is set out in the privacy policy.
13. Liability
We are liable without limitation for intent and gross negligence, and for injury to life, body and health. For slight negligence, we are liable only for breach of material contractual obligations and limited in amount to the foreseeable, typical damage, but at most to the amount paid for the order concerned.
For the loss of data, we are liable only up to the cost that would have been necessary for recovery if you had made proper backups. Therefore, always keep your own copy of your raw material.
14. Cancellation
Before processing begins, you can cancel an order free of charge; we refund the full amount. After it has begun, we bill the portion performed up to that point and refund the rest. We may terminate an order if, despite being asked, you do not cooperate for thirty days; in this case, we bill the portion performed.
15. Changes to these terms
We may change these terms with effect for future orders. For an order already placed, the version that applied at the conclusion of the contract governs.
16. Governing law and jurisdiction
Swiss law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction is Aesch BL, insofar as you are a business. If you are a consumer, the mandatory consumer protection provisions of your country of residence remain unaffected; you can also sue us there.
Should a provision of these terms be invalid, the remainder of the contract remains valid.
